Terms of Service
Working Draft · Effective Date: November 5, 2026 — published pending legal review.
These Terms of Service (these “Terms”) constitute a binding legal agreement between Orenyx Labs, LLC, a Wyoming limited liability company d/b/a Orenyx (“Orenyx,” “we,” “us,” or “our”), and the person or entity accessing or using Orenyx Wellness, including the website located at orenyxwellnessengine.com and all related services (collectively, the “Service”). By creating an account, subscribing, accessing, or using the Service, you (“you” or “Client”) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Acceptance of Terms
These Terms, together with the Orenyx Wellness Privacy Policy (collectively, the “Orenyx Policies”), govern your use of the Service. Each Orenyx Policy is incorporated into these Terms by reference. In the event of a direct conflict between these Terms and a specific Orenyx Policy on a matter that Orenyx Policy expressly addresses, that Orenyx Policy controls solely with respect to that matter. Orenyx may update these Terms from time to time. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
2. Eligibility
The Service is restricted to individuals and entities that are at least eighteen (18) years of age. By accessing or using the Service, each individual User represents and warrants that they are at least eighteen (18) years old and have the legal capacity to enter into a binding contract. Orenyx does not knowingly permit registration or use of the Service by any individual under eighteen (18) years of age, and any account found to belong to an individual under eighteen (18) will be suspended or terminated upon discovery.
If you are accessing the Service on behalf of a company or other entity, you represent and warrant that you are authorized to bind that entity to these Terms and that the entity itself is validly formed and in good standing.
3. Definitions
“Client” means the company or other entity that subscribes to the Service on behalf of its crew.
“Technician” means an employee or team member of a Client who receives daily check-ins through the Service, using a mobile phone number provided by the Client.
“Check-In Data” means the responses a Technician submits through the daily check-ins, including quick check-off selections and short replies.
“User Content” means any information, document, or material submitted, posted, or transmitted by a User through the Service.
4. Description of the Service
Orenyx Wellness sends a short daily wellness check-in to a Client’s field technicians by text message or voice, in English or Spanish. Each Technician receives a daily prompt — a few quick check-offs (such as hydration, breaks, movement, and safety) — and replies from their phone. Owners and managers see crew-level totals and trends. The Service is designed so that owners see crew totals, not individual Technician responses.
Orenyx is a technology platform only. The Service is not medical, mental-health, or emergency care, and does not diagnose, treat, or monitor any medical or mental-health condition. The check-ins are simple wellness prompts and are not a substitute for professional medical advice, diagnosis, or treatment. In an emergency, call 911 or your local emergency services. The Service is not a healthcare provider and is not represented as HIPAA-covered.
5. Accounts and Registration
You must register for an account to access most features of the Service and must provide accurate, current, and complete information during registration and keep such information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Orenyx promptly of any unauthorized use of your account.
Orenyx may refuse to register, or may suspend or terminate, any account at its discretion, including where Orenyx is unable to verify a Client’s legitimacy or where fraud, misrepresentation, or a violation of these Terms is suspected.
6. Plans, Fees, and Payment
Use of the Service requires payment of a recurring subscription fee based on the plan you select, priced per technician per month. Current plans and pricing are set out on the pricing page of the Service and are incorporated into these Terms by reference. All payments are processed through Stripe, Inc. (“Stripe”). By making a payment, you agree to Stripe’s applicable terms. Orenyx does not collect or store raw payment card data.
Subscription fees are billed monthly in advance and are charged automatically to the payment method on file until the subscription is cancelled in accordance with these Terms. Where a yearly payment option or a promotional discount (such as the Orenyx Voice Dispatch customer discount) is offered, it applies on the terms displayed at purchase.
7. Cancellation and Refunds
Subscriptions are month-to-month with no minimum term. You may cancel at any time. Cancellation prevents future renewal charges but does not entitle a Client to a refund of the then-current period’s fee, and fees already billed are non-refundable, except as required by applicable law or as set out below.
If you believe you were charged in error, you must notify Orenyx within thirty (30) days of the charge at Support@OrenyxLabsLLC.com. Verified billing errors attributable to Orenyx will be corrected and, where a fee was mistakenly charged, refunded. Approved refunds are issued to the original payment method through Stripe, Inc. and are typically processed within ten (10) business days of approval.
Users should contact Orenyx to resolve a billing dispute before initiating a chargeback with their card issuer or Stripe.
8. Intellectual Property
The Service, including its software, design, text, and trademarks, is owned by Orenyx and its licensors and is protected by intellectual property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose.
You retain ownership of User Content you submit to the Service. You grant Orenyx a limited license to host, process, and display User Content as necessary to operate the Service.
9. Third-Party Services and Payment Processing
The Service integrates with third-party providers, including Stripe for payment processing and SMS, voice, and email providers for communications. Your use of third-party services is subject to their terms, and Orenyx is not responsible for third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Orenyx does not provide medical, mental-health, legal, tax, or compliance advice. The daily check-ins are operational wellness prompts only and are not a substitute for professional advice or care. Orenyx makes no representation that any health, safety, or business outcome will result from use of the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORENYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ORENYX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ORENYX’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE FEES PAID BY YOU TO ORENYX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Orenyx and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, your User Content, or your violation of these Terms.
13. Term and Termination
These Terms take effect when you first access or use the Service and remain in effect until terminated. Orenyx may suspend or terminate your access to the Service for violation of these Terms, nonpayment, or where required to protect the Service or other Users. You may stop using the Service at any time, subject to the cancellation provisions in Section 7.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Wyoming, and each party consents to such jurisdiction.
15. Miscellaneous
These Terms, together with the Orenyx Policies, constitute the entire agreement between you and Orenyx regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Orenyx’s failure to enforce any right is not a waiver of that right.
